The Latvian Competition Council (KP) has approved a takeover bid by retail chain SIA “Rimi Baltic” to gain sole control over logistics provider SIA “Havi Logistics,” the KP announced on January 27, 2026.
Following a review of information provided by the companies and its own analysis, the KP determined that the merger would not significantly alter market structure, reduce competition, or create or strengthen a dominant position in any of the markets where the two companies operate. The KP approved the merger.
“SIA Havi Logistics” and its subsidiaries in Estonia and Lithuania provide warehousing services encompassing a wide range of operations, including goods handling, assembly, labeling, sorting, reverse logistics, and other services.
“Rimi Baltic” is a leading retail chain in the Baltic region, operating in Latvia, Lithuania, and Estonia and employing more than 12,000 people. “Rimi Baltic” manages a network of over 315 stores and is part of Salling Group, one of Denmark’s largest retail groups.
The deal involves SIA “Rimi Baltic” acquiring SIA “Havi Logistics,” including shares in “Havi Logistics” UAB and “Havi Logistics” OU across all three Baltic states, adding approximately 800 employees to the “Rimi Baltic Group.”
CONTEXT:
Retail network SIA “Rimi Baltic” signed a purchase agreement to acquire 100% of the shares in SIA “Havi Logistics” in all three Baltic countries, SIA “Rimi Latvia” announced in early January 2026.
The transaction amount was not disclosed. “Rimi Latvia” noted that the deal is a significant step in “Rimi’s” development to strengthen the competitiveness of its supply chain in the region.
Information available from “Lursoft” indicates that “Rimi Baltic” generated a turnover of EUR 29.05 million in 2024, a 1.6% increase compared to the previous year, while the company’s profit increased by 2.4% to EUR 765,368. The company is owned by “Rimi Baltic,” registered in Sweden.
“Rimi Latvia” generated a turnover of EUR 1.126 billion in 2024, a 4.6% increase compared to the previous year, while the company’s profit increased by 31% to EUR 38.115 million.
SIA “Havi Logistics” generated a turnover of EUR 16.78 million in 2024, an 8.7% increase compared to the previous year. The company reported a loss of EUR 121,886 in 2024, compared to a profit in the previous year. The share capital of SIA “Havi Logistics” is held by “Havi Global Logistics” of Germany.
