Tesla Shareholders to Vote on $1 Trillion Elon Musk Pay Package

Tesla shareholders are set to vote today on a controversial compensation package for CEO Elon Musk that could potentially make him the world’s first trillionaire, though the company has warned it could lead to his departure if rejected.

The proposed package, up for a vote at Tesla’s annual meeting this afternoon, would grant Musk up to 423.7 million additional shares of Tesla stock over the next decade. Achieving the full payout hinges on Tesla reaching a market capitalization of $8.5 trillion – a 466% increase from its current value – and meeting a series of operational and financial targets. This vote comes at a critical juncture for Tesla, as the company navigates slowing sales and increased competition in the electric vehicle market.

Despite recent financial headwinds, including a dip in first-half profits and the phasing out of some US government EV incentives, Musk and Tesla executives remain optimistic, emphasizing a shift in focus towards self-driving technology, “robotaxis,” and humanoid robots. “Shareholders are going to support this overwhelmingly, because Musk is the key asset for Tesla,” said Dan Ives, an analyst for Wedbush Securities. However, influential advisory firms like Glass Lewis and ISS have recommended against the package, citing potential shareholder dilution and vague performance targets. While several investment funds, including Norway’s sovereign wealth fund and various US public pension funds, have announced their opposition, many anticipate the package will pass, mirroring the 84% approval rate of Musk’s previous pay vote. Ross Gerber, CEO of Gerber Kawasaki Wealth & Investment Management, stated, “I think it passes no matter what,” despite his criticism of the package’s size. The outcome of this vote will significantly impact Tesla’s future direction and Musk’s continued leadership. For more on Tesla’s financial performance, see their investor relations page.

Tesla officials have stated they will respect the outcome of the shareholder vote and move forward accordingly.
